Hawker Siddeley Canada Inc. ("HSC") 

Through creative use of business, legal and management skills provided business-focused legal and risk management advice to businesses in the aerospace, mining, steel foundry and sawmill equipment and railcar leasing sectors and to companies providing services and facilities for excimer laser vision correction. 

• directed legal services and served as a Director for HSC and its subsidiaries located in Canada, the US, the UK, and Australia. 
• contributed to the shareholder value maximization process through participation in strategy sessions and negotiating and completing international transactions at HSC to divest corporate assets (values $1M to $115M)
• participated in structuring and implementing business plans
• multi-million dollar domestic and international (multi-jurisdictional) acquisitions and divestitures
• implemented new executive compensation scheme
• repatriated surplus from terminated and dormant pension funds
• participated in anti-dumping claims both as Canadian manufacturer and importer
• compliance with securities legislation, including initial stock exchange listing, secondary public offering ($125M), shareholder rights plan, special warrant transactions, dividend reinvestment and share purchase plans, normal course issuer bid, stock option plans, stock appreciation rights and incentive plans
• US securities involvement, participated in IPO prospectus for NASDAQ listing
• directed outside counsel on litigation matters, insured (product liability, corporate fraud, discrimination) and non insured (warranty, environmental, pension, employment, breach of contract, patent and trademark infringement) claims
• driver in reducing product liability exposure by introduction of product safety committees and conducting seminars on product liability 
• provided and managed corporate secretarial function for public and private companies, including compliance with securities and corporate legislation in Canada, the US, the UK and Australia
